How Current Rate is Determined

Dividends will accrue from April 26, 1996 and will reset quarterly using the following calculation:

How Current Rate is Determined

The dividend rate will reset as of April 1, 2002 and as of April 1 every year thereafter. The reset is based on the 12-month LIBOR Rate determined two LIBOR business days before the reset date minus 0.20%. The initial dividend rate of 4.50% accrued from March 23, 2001 through March 31, 2002. How Current Rate is Determined

The dividend rate will reset as of April 1, 2003 and as of April 1 every two years thereafter. The reset is based on the 2-year CMT Rate determined two business days before the reset date plus 0.10%. The initial dividend rate of 4.817% accrued from January 26, 2001 through March 31, 2003. The dividend rate will reset as of July 1, 2003 and as of July 1 every two years thereafter. The reset is based on the 2-year CMT Rate determined two business days before the reset date plus 0.20%. The initial dividend rate of 4.48% accrued from May 30, 2001 through June 30, 2003. How Current Rate is Determined

The dividend rate will reset as of January 1, 2005 and as of January 1 every five years thereafter. The reset is based on the 5-year CMT Rate determined two Business Days prior to the reset date. The initial dividend rate of 5.97% accrued from November 5, 1999 through December 31, 2004.
